These Terms & Conditions (“Terms”) govern your access to and use of paydpayments.com and services provided by Payd Processing LLC, doing business as Payd Payments (“Payd Payments,” “we,” “us,” or “our”). By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

Payd Payments provides payment processing solutions for high-risk merchants and industries. All services are subject to underwriting approval, applicable banking regulations, card network rules, and the terms of separate merchant processing agreements signed between you and Payd Processing LLC or its sponsoring partners.

2. Eligibility

You must be at least 18 years of age and legally authorized to enter into binding contracts on behalf of your business to use our services. You agree to provide accurate, complete, and current information during the application process and throughout the relationship.

3. Merchant Obligations

As a merchant using our services, you agree to:

• Comply with all applicable laws, regulations, and card network rules.
• Provide truthful information during underwriting and ongoing operations.
• Maintain accurate business and financial records.
• Promptly notify us of changes to your business operations or ownership.
• Not engage in prohibited business activities or fraudulent transactions.

4. Fees & Pricing

Pricing, fees, and rates are outlined in your individual merchant processing agreement. Fees may include processing rates, transaction fees, monthly fees, chargeback fees, and other charges as applicable. We reserve the right to modify fees with appropriate notice as permitted under your merchant agreement.

5. Chargebacks & Reserves

Merchants are responsible for managing chargebacks in accordance with card network rules. We may require a reserve account or rolling reserve based on risk assessment. Excessive chargeback ratios may result in account termination.

6. SMS Communications

If you opt in to SMS messages from Payd Payments, you agree to receive recurring text messages regarding your application status, account updates, and customer service. Message and data rates may apply. You can opt out at any time by replying STOP. Full program details are in our SMS Terms.

7. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, regulatory requirements, excessive risk, or other reasons set out in your merchant agreement. You may terminate your account in accordance with the terms of that agreement.

8. Intellectual Property

All content on this website, including text, graphics, logos, and software, is the property of Payd Processing LLC and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Disclaimers

Our website and services are provided “as is” without warranties of any kind, express or implied, except as required by law. We do not warrant that the services will be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Payd Payments shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Payd Processing LLC, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the services, violation of these Terms, or infringement of third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida and the United States of America, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida.

13. Modifications

We reserve the right to modify these Terms at any time. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
